US LLC vs UK LTD: Which Structure is Right for Your International Business?

Choosing between a US LLC and a UK LTD is one of the most important decisions for international entrepreneurs. This comprehensive comparison covers taxes, banking, privacy, and more.

Overview: Two World-Class Business Structures

The United States LLC and the United Kingdom Private Limited Company (LTD) are both excellent choices for international entrepreneurs. They are recognized globally, accepted by major payment processors, and offer liability protection for their owners. But they differ significantly in tax treatment, formation requirements, ongoing compliance obligations, and best use cases.

Taxation: Pass-Through vs Corporation Tax

The most fundamental difference between a US LLC and a UK LTD is how they are taxed.

A US LLC owned by a non-US person is typically treated as a disregarded entity for US federal tax purposes. This means the LLC itself pays no US income tax — income passes through directly to the owner. If the owner is a non-US resident with no US-sourced income and no "effectively connected income," they may owe no US tax at all. However, they must still file Form 5472 and a proforma 1120 annually.

A UK LTD is a separate taxable entity. It pays Corporation Tax on its profits — currently 19% for profits up to £50,000, rising to 25% for profits above £250,000. Dividends paid to the director/shareholder are taxed separately. The overall tax burden for a UK LTD is more complex but often manageable with proper planning.

Formation Speed and Cost

Both structures can be formed quickly. A UK LTD can be incorporated in minutes through Companies House for just £12–£50 depending on the method used. It is one of the fastest company formations in the world.

A US LLC typically takes 1–5 business days in expedited states like Wyoming, though the state filing fee ($102 in Wyoming) plus registered agent costs add up. The main time cost for a US LLC is obtaining the EIN, which can take 4–8 weeks if done by mail.

Banking Access

This is where the US LLC has a significant advantage for many entrepreneurs. A US LLC can access Mercury, Relay, and other modern US banking platforms that integrate directly with Stripe, PayPal, Amazon Seller Central, and other US-centric payment systems.

A UK LTD can access Wise Business, Revolut Business, HSBC UK, and other European banking options. UK banking is generally more accessible in the European context. However, if your primary payment processing is through Stripe US or if your customers pay in USD, a US LLC with a US bank account often creates a smoother experience.

Privacy

Wyoming and New Mexico LLCs offer strong privacy — member names are not listed in public state records. The UK is moving in the opposite direction: Companies House now requires extensive information about directors, shareholders, and Persons with Significant Control (PSC), all of which is publicly searchable online.

If privacy is a priority, the US LLC — particularly in Wyoming — offers considerably better protection.

Annual Compliance Requirements

A US LLC (Wyoming) requires an annual report filed with the state ($62), Form 5472 and proforma 1120 filed with the IRS annually, and a BOI report filed with FinCEN (one-time unless ownership changes).

A UK LTD requires a Confirmation Statement filed annually at Companies House (£34 online), Annual Accounts filed within 9 months of year end, a Corporation Tax Return filed within 12 months of year end, and Corporation Tax paid within 9 months and 1 day of year end. The UK LTD has more compliance steps, but each is relatively straightforward.

Best Use Cases

Choose a US LLC if you primarily sell to US customers, need to process payments through Stripe US, Shopify Payments, or Amazon US, want to access US business banking, privacy is a priority, or your business is online-only with no employees.

Choose a UK LTD if you primarily sell to European or UK customers, your clients or partners prefer dealing with a UK-registered company, you want to apply for UK business loans or grants, or you are building toward a UK market presence.
