Every UK LTD must file a Confirmation Statement every year. Miss the deadline and your company risks being struck off the register. Here is exactly what to do and when.
What Is the Confirmation Statement (CS01)?
The Confirmation Statement, filed using form CS01, is an annual filing that every UK Private Limited Company must make with Companies House. It replaced the old Annual Return in 2016.
The CS01 is not a financial document — it does not include accounts or profit/loss information. Instead, it confirms that the information Companies House holds about your company is still accurate and up to date.
What Information Does It Confirm?
The Confirmation Statement confirms several key details about your company as of the "confirmation date" (the date up to which you are confirming).
The Registered Office Address is the official address where legal documents can be served on the company — this must be a physical UK address. The SIC Code is the Standard Industrial Classification code that describes what your company does, and you can check and update this during the filing.
The Statement of Capital confirms the total number and value of shares issued. Shareholder Information details all shareholders including the number and class of shares each holds. Persons with Significant Control (PSC) details any individual or entity that owns more than 25% of shares or voting rights, or has significant influence over the company. Director and Secretary Information confirms the names and service addresses of directors.
The Filing Deadline
Your confirmation date is the anniversary of either the date your company was incorporated, or the date of your last Confirmation Statement. You have 14 days after the confirmation date to file the CS01 at Companies House.

For example, if your company was incorporated on March 15, 2024, your first confirmation date is March 15, 2025, and you have until March 29, 2025 to file.
Penalties for Late or Non-Filing
Companies House will send reminders and then issue a warning notice if the CS01 is not filed. If the company still does not file, Companies House will initiate strike-off proceedings under Section 1000 of the Companies Act 2006. A notice is published in the Gazette, and if no objection is made, the company is dissolved.
Additionally, the directors of a company that persistently fails to file required documents can face prosecution, a fine, and disqualification from acting as a company director. Late filing of confirmation statements can result in a £150 penalty.
How to File the Confirmation Statement
The easiest method is online via Companies House WebFiling. Log in to your Companies House account, navigate to your company, select "File a confirmation statement," review all details, make any necessary changes, and submit. The online filing fee is £34.
You can also file on paper using the CS01 form — the paper filing fee is £62. Processing takes longer.
